Shipping is based on weight and location.

Chair packages, operatory packages and select other items are made to order. Returns may be subject to a restocking fee.

We implement a variety of security measures to maintain the safety of your personal information when you place an order or enter, submit, or access your personal information.
 
We offer the use of a secure server. All supplied sensitive/credit information is transmitted via Secure Socket Layer (SSL) technology and then encrypted into our Payment Gateway provider's database only to be accessible by those authorized with special access rights to such systems, and are required to keep the information confidential.

After a transaction, your private information (credit cards, social security numbers, financials, etc.) will not be kept on file for more than 60 days.

We do not sell, trade, or otherwise transfer to outside parties your personally identifiable information. Superior Dental Design Services Terms and Conditions

Superior Dental Design Services (SDDS) is dedicated to saving you money on high quality dental equipment. To ensure these savings SDDS has established policies and procedures on all sales which are hereinafter set forth. By use of this website and/or placing an order through this website you are agreeing to our Terms and Conditions.

Orders and Pricing:  Orders for chair/operatory packages will be processed upon receipt of signed proposal and deposit. A minimum deposit of 50% is required. We accept Mastercard, Visa and Discover, and American Express. Final payment is due upon shipping in the form of credit card, cash, cashier's check or lease purchase plan. Prices quoted do not include shipping, delivery and installation charges, unless otherwise stated. If shipped via an SDDS truck, shipping charges will be added to the invoice. All equipment is custom assembled for your order therefore, orders are final and cannot be cancelled; equipment is non-returnable.

Shipping:  Approximate shipping data is merely an estimate and subject to change depending upon availability. Equipment is shipped F/O/B point of origin. Common carrier accepts responsibility for loss or damage upon accepting goods. Delivery of all goods is subject to availability. SDDS shall not be liable for failure to deliver or delays in manufacture or transportation, acts of purchaser or others acting for or on behalf of purchaser, strikes or other labor difficulties, government controls or actions, acts of God or other casualties. In the event of such delay, the date of delivery or performance shall be extended for a period equal to the time lost by reason of the delay.

Receipt and Inspection:  Upon receipt or delivery of goods, Purchaser acknowledges that Purchaser will carefully and immediately inspect the same and ensure that each product is in safe and working condition and otherwise in acceptable condition. Failure to immediately reject the goods by written notice shall be deemed acceptance of the goods. Purchaser acknowledges that the products shipped are based upon Purchaser's own independent determination and the goods are appropriate for Purchaser's purpose, use, application, and environment.

Installation:  The cost of equipment does not include installation, any installation of equipment of new plumbing, changes to existing plumbing, electrical, carpentry work or flooring. Parts and materials necessary to install, connect, and disconnect that have not been provided in the cost of the equipment, will be charged separately to the Purchaser. A certified/qualified technician will perform all installations. SDDS reserves the right to void any warranties or guarantees if you choose to do the installation or have the installation done by a third party or in the event the person performing the installation is not certified or qualified.

Warranty:  Each product is being sold AS IS, WHERE IS, and pursuant to the warranties more specifically described herein. It is the Purchaser's responsibility to notify SDDS in writing within the warranty term of any requests for warranty service specifying the nature of defect.  If replacement requires off-site repair, Purchaser shall be responsible for all charges and costs for delivery of the equipment to the repair site. SDDS shall not be liable for any direct, indirect or consequential damages arising out of the use and operation of equipment beyond the cost of repair or replacement of defective parts or materials. SDDS is not responsible to any third party for any liabilities, claims, injuries, losses, costs or damages arising from or associated with the use, any failure of, or any unknown defect in or with respect to any product(s) and/or their installation, transportation, or storage. The warranties are provided in lieu of any and all other warranties including express or implied, and including without limitation any and all warranties of suitability, merchantability, and/or fitness for any particular purpose. Purchaser's sole remedy for a failure of or defect in or with respect to any of such products is repair or replacement as set forth more particularly below:

New:  On the sale of new equipment, all equipment will carry the standard manufacturer's parts warranty only. Repair credit parts exchange shall apply.

Used and Refurbished: On the sale of used and refurbished equipment SDDS extends to the purchaser of used or refurbished equipment a limited warranty for a period of ninety (90) days for non-certified equipment and one (1) year for certified equipment from the date of delivery. This limited warranty ensures that your equipment will be free from material defects in parts or materials supplied by SDDS. During this warranty term, SDDS agrees to replace at its expense all parts and materials found upon SDDS inspection to be inoperable or defective, excluding technician's labor. SDDS reserves the right to determine whether to replace all parts or materials found to be inoperable or defective upon their inspection. Customer abuse, misuse, modifications or repair voids the warranty.

Security Interest: SDDS hereby reserves a security interest in goods which are subject to this proposal or any additions or deletions or modifications thereto, as more particularly described in the delivery ticket or invoice. In the event of any default in payment, Purchaser expressly grants to seller the right to re-take possession of the goods and any and all rights of the Uniform Commercial Code.

Default:

Interest:  In the event that Purchaser fails to make final payment, such unpaid sums shall accrue interest at the rate of 1 1/2% per month (18% per annum) from the time when such monies become due until paid.

Returned Checks:  Any person who writes a check that is later dishonored for lack of funds shall be civilly liable and can be sued in court for three times the amount of the check plus the face value of the check pursuant to Florida Statute 68.065. All accounts will be assessed with a $15.00 minimum service charge for any returned check.

Attorney's Fees:  In the event that the Seller retains the services of an attorney in order to enforce the collection, or to enforce its security interest in the goods, or any other terms and conditions under this contract, occasioned by Purchaser's failure or default hereunder, then Purchaser agrees to pay the seller its reasonable attorney fees for the services, together with the costs of collection, including court costs and bind costs.

Assignment of Rights:  Purchaser may not subcontract or assign his/her/its rights, remedies, or obligations arising hereunder or in connection with any transaction or dealing with SDDS

Jurisdiction, Venue and Choice of Law:  The parties consent to submit themselves to the jurisdiction of the courts of the State of Florida, with venue in Orange County, Florida for the enforcement of all rights and obligations under this agreement. These rights and obligations shall be construed under the laws of the State of Florida.

Serverability:  If any provision of the invoice of these Terms and Conditions is determined illegal or unenforceable, it shall not affect the enforceability of any other provision or paragraph of the invoice or these Terms and Conditions.

Use of Purchases:  USE OF THE EQUIPMENT FOR ANY PURPOSE OR IN ANY MANNER OTHER THAN AS SPECIFIED ABOVE, OR CONTINUED USE OF ANY PRODUCT THAT IS DEFECTIVE, DAMAGED OR MALFUNCTIONING, MAY RESULT IN INJURY TO PERSONS OR PROPERTY, OR DEATH. Accordingly, Purchaser agrees to immediately discontinue use of any Product found to be defective, in need of repair or maintenance, or otherwise not properly functioning.

Hold Harmless/Indemnity:  Purchaser assumes all risks associated with the possession, use, and transportation of the equipment. Accordingly, Purchaser hereby waives any and all liens and claims arising from or associated with, and agree to indemnify, defend and hold harmless SDDS, its parents, affiliates and subsidiaries, and their respective officers, directors, shareholders, agents, employees, representatives, successors and assigns, from and against, any and all liabilities, claims, damages, losses, costs and expenses (including without limitation, attorney's fees, claims for bodily injury(ies) including death, property damage, loss of time and/or inconvenience arising in connection with such possession, use, and transportation of equipment regardless of the cause and including any injuries and/or damages suffered by you, your employees and/or any third party(ies), except to the extent directly resulting from our intentional misconduct. This indemnification shall survive delivery of the goods to Purchaser and any subsequent sale or other transfer of the goods to a third party.
